Terms of Service
Effective as of 3 August 2026
Autron, Inc. ("Autron") develops and operates a cloud-based ad management and analysis platform ("Platform"). Our platform makes it easy for customers of Autron ("Customers") to manage and optimize their digital ad campaigns across multiple ad networks including but not limited to those managed by Amazon, Google and Facebook.
This document, the Autron Terms of Service ("Terms"), outlines the terms regarding your use of our platform. These terms are a legally binding contract between you and Autron so please read carefully. If you do not agree with these Terms, please do not register for or use any of our services.
By using our platform via any websites, applications, mobile applications, software or other properties operated by Autron or by registering for a Autron account ("Services"), you are agreeing to be bound by these Terms.
If you are accessing the Platform on behalf of an organization, you are agreeing to these Terms for that organization and promising to Autron that you have the authority to bind that organization to these Terms.
Privacy
In order to operate our Services and maintain contact with Customers, Autron collects, maintains and uses certain personal information. How we collect, use, store and protect this information is detailed in our Privacy Policy. You acknowledge that your use of our Services is subject to this privacy policy.
Changes to These Terms
We reserve the right to modify these Terms. We will post the most current version of these terms at autron.ai. If we make any material changes to these terms, we will notify you via email to the address associated with your account. If you do not accept these changes you must stop using the Platform and cancel your account by emailing hello@autron.ai. Your continued use of the Platform after we publish or send notice about changes to these Terms means that you are consenting to the updated terms.
Your Account
Use of the Platform requires you to create an account by completing a registration form and designating an email and password. You are responsible for any content that you upload, post or otherwise transmit via the Platform. Only you may use your Autron account and you are responsible for your account. If you become aware of any unauthorized use of the Platform or your account, please contact hello@autron.ai.
Autron reserves the right to refuse registration of, or cancel passwords it deems inappropriate.
Services and Support
The general service descriptions and specifications of our Platform and the applicable price list can be found on our website at autron.ai and in our mobile applications. Broadly, the Platform manages, measures, and optimizes digital advertising sales through algorithmically-driven copywriting, targeting and conversion optimization on behalf of the Customer, based on goals set by the customer in the apps.
The main service that Autron provides is access to our software Platform and Services via the Internet through our website or mobile apps. Subject to these terms, Autron will use commercially reasonable efforts to provide the Customer the Services. Any other services including support are only provided as accompanying services after prior agreement. Autron may but is not obliged to provide any support services to Customers unless obliged to by law.
The Customer recognizes that Autron is designed to act as the exclusive digital marketing and technology solution in relation to Amazon.com and affiliated sites and that engaging any other third parties or software solutions to carry out services that are the same or similar to the Services provided by Autron may prevent Autron from providing the Customer the Service.
Each Customer may create its own account for use of the Platform. Autron will grant the Customer through this account, the contractually agreed access to use the Platform and Services.
Autron may extend the platform with additional software features at any time, adapt and improve features and introduce additional security measures at any time.
Certain features that Autron offers in the Platform depend on data provided by Amazon and other sources. It is possible that Autron may need to change or reduce functionality as a consequence of changes to the data made available by Amazon. If such a change is required and such change significantly impedes the Customer's ability to use Autron's platform, an extraordinary right to terminate its subscription will be provided.
Details on the prices, terms of agreement and scope of access to the Platform granted to Customers may also be agreed to in individual contracts between the parties. These terms apply in addition to the more general terms of this Terms of Service. In the case of contradictions between the individual contracts and these terms, the provisions of the individual contracts take precedence.
Restrictions and Responsibilities
Customer will not, directly or indirectly: reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Services or any software, documentation or data related to the Services ("Software"); modify, translate, or create derivative works based on the Services or any Software (except to the extent expressly permitted by Autron or authorized within the Services); use the Services or any Software for time sharing or service bureau purposes or otherwise for the benefit of a third; or remove any proprietary notices or labels. Further, Customer may not remove or export from the United States or allow the export or re-export of the Services, Software or anything related thereto, or any direct product thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority. As defined in FAR section 2.101, the Software and documentation are "commercial items" and according to DFAR section 252.227 7014(a)(1) and (5) are deemed to be "commercial computer software" and "commercial computer software documentation." Consistent with DFAR section 227.7202 and FAR section 12.212, any use modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. Government will be governed solely by the terms of this Agreement and will be prohibited except to the extent expressly permitted by the terms of this Agreement.
Customer shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Services, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers and the like (collectively, "Equipment"). Customer shall also be responsible for maintaining the security of the Equipment, Customer account, passwords (including but not limited to administrative and user passwords) and files, and for all uses of Customer account or the Equipment with or without Customer's knowledge or consent.
You agree you will not, nor will you encourage others or assists others to, harm the Services or use the Services to harm others. For example, you must not use the Services to harm, threaten, or harass another person, organization or Autron and/or to build a similar service or website. You must not: (a) damage, disable, overburden, or impair the Service (or any network connected to the Services); (b) resell or redistribute the Services or any part of it; (c) use any unauthorized means to modify, reroute, or gain access to the Services or attempt to carry out these activities; (d) use any automated process or service (such as a bot, a spider, or periodic caching of information stored by Autron) to access or use the Services, other than through an interface Autron provides for that purpose and that you are authorised to use, including our API and our MCP server; (e) use the Services beyond the features allocation and amounts provided in that Service or in violation of our fair use policy; (f) use the Services to violate any law of distribute malware or malicious Content; or (g) distribute, post, share information or Content you don't have the right to or is illegal.
Suspension and Termination of the Service
We reserve the right to suspend or terminate your access to the Service at any time in our sole discretion if we believe you have violated these Terms or the Restrictions and Responsibilities terms in section 5.
Consent to Electronic Communications and Solicitation
By registering with Autron you understand that we may send you, including via email, information regarding the Platform including notices about your use of the Platform, updates to the services including new products or features, promotional materials. Your message settings can be controlled with the web and mobile applications or you can unsubscribe by following instructions in the message.
Notices emailed to you concerning your account will be considered given and received when the email is sent. If you don't consent to receiving notices electronically (not including promotional materials), you must stop using the Services.
Content
Any electronic documents, images or strings uploaded or entered into your account by you is considered "Content". All Content uploaded into your account is yours. You are responsible for all content you upload to your Autron account and making sure you have all the rights you need to the Content. By storing using or transmitting Content you cannot and will not violate any law or these terms.
In some cases content (images, strings, keyword lists, etc) uploaded to Autron may be propagated to Amazon's advertising networks or other marketing platforms at your instruction. In these cases, your content will be subject to the terms and rules of those platforms. Although our Platform may provide some assistance in validating content before submission to these platforms, it is ultimately your responsibility to ensure that you are not violating any content guidelines of those sites and we assume no responsibility for issues that may arise as a result of your uploaded content to other platforms via Autron's integrations.
Content Storage
The Services are provided from the United States. By using and accessing the Services, you understand and agree to the storage of Content and any other personal information in the United States. However, you understand that you (or other people that you collaborate with) can access the Services (including Content) from outside of the United States (subject to applicable law) and that nothing prohibits the processing of other information outside of the United States.
Copyright Complaints and Removal Policy
Autron respects the intellectual property of others and will respond to notices of alleged copyright infringement that comply with the law. We reserve the right to delete or disable Content alleged to violate copyright laws or these Terms and reserve the right to terminate the account(s) of violators.

Data Access
The Customer is obliged to provide Autron with all the data necessary for performance of the services as contractually agreed upon.
The data will usually by delivered by connecting the advertising and or retail accounts of the Customer (e.g. Amazon MWS, Amazon Selling Partner API, Amazon Seller Central, Amazon AMS, Amazon Advertising API) to the Customer's Organization account on the Platform via an application programming interface (API). This linking will give the Platform access to the available advertising and/or retail sales data to allow its analysis. Once an account has been connected to the Autron platform, advertising and retail sales data will be synced to Autron's databases on an ongoing basis, regardless of whether the Customer is currently a paid subscriber, until such time that the Customer revokes API access or that the Customer requests the deletion of their account.
The data supplied by the Customer for analysis may not violate any laws or infringe on the rights of third parties. In the event of a violation, Autron may suspend the Customer's access to the Platform.
The customer grants Autron the required rights to use the provided data for the purpose of analysis to provide the Service in accordance with these terms.
Confidential Information
Each party (the "Receiving Party") understands that the other party (the "Disclosing Party") has disclosed or may disclose business, technical or financial information relating to the Disclosing Party's business (hereinafter referred to as "Proprietary Information" of the Disclosing Party). Proprietary Information of Autron includes non-public information regarding features, functionality and performance of the Service. Proprietary Information of Customer includes non-public data provided by Customer to Autron to enable the provision of the Services ("Customer Data"). The Receiving Party agrees: (i) to take reasonable precautions to protect such Proprietary Information, and (ii) not to use (except in performance of the Services or as otherwise permitted herein) or divulge to any third person any such Proprietary Information. The Disclosing Party agrees that the foregoing shall not apply with respect to any information after five (5) years following the disclosure thereof or any information that the Receiving Party can document (a) is or becomes generally available to the public, or (b) was in its possession or known by it prior to receipt from the Disclosing Party, or (c) was rightfully disclosed to it without restriction by a third party, or (d) was independently developed without use of any Proprietary Information of the Disclosing Party or (e) is required to be disclosed by law. Each Party remains sole owner of the intellectual property rights it owned prior to the execution of the Agreement. Customer authorizes Company to collect, use, analyze and process Customer Data, to combine the Customer Data with Autron Data in order to perform the Service for the Customer. Autron shall own and retain all right, title and interest in and to (a) the Services and Software, all improvements, enhancements or modifications thereto, (b) any software, applications, inventions or other technology developed in connection with Implementation Services or support, and (c) all intellectual property rights related to any of the foregoing. Notwithstanding anything to the contrary, Autron shall have the right to collect and analyze data and other information relating to the provision, use and performance of various aspects of the Services and related systems and technologies (including, without limitation, information concerning Customer Data and data derived therefrom), and Autron will be free (during and after the term hereof) to (i) use such information and data to improve and enhance the Services and for other development, diagnostic and corrective purposes in connection with the Services and other Company offerings, and (ii) disclose such data solely in aggregate or other de-identified form in connection with its business. No rights or licenses are granted except as expressly set forth herein.
For the avoidance of doubt, and consistent with our Privacy Policy, Autron does not use the content of your conversations with the Agent to train models of its own for use by other customers, and does not sell that content. The rights described above are exercised in aggregate or de-identified form except where identifiable data is needed to provide, secure, support or debug the Services for you.
Customer permits Autron a royalty-free license to use Customer trademarks, service marks, slogans, artwork, written materials, drawings, photographs, graphic materials, film, music, transcriptions, or other materials that are subject to copyright, trademark, or similar protection materials in order to perform the Service for the Customer.
Fees
Autron offers both free and paid Services. If you choose to subscribe to a paid Service, you agree to pay the fees ("Fees") as quoted to you at the time you purchase the Service. Fees are exclusive of taxes, and Autron may calculate taxes payable based on the billing information you provide. You are responsible for all charges related to use of the Service, including data charges and currency exchange settlements. Fees will be charged in the currency quoted at the time of purchase, and Autron reserves the right to change eligible currencies at any time.
Autron may change its prices from time to time. However, if Autron has offered a specific Fee for a defined duration, that Fee will remain in effect for that duration. After the applicable period ends, continued use of the Service will be charged at the then-current Fees.
If you do not agree to a Fee change, you must stop using the Service and cancel by emailing hello@autron.ai and receiving cancellation confirmation from an Autron representative. Upon cancellation, your Service will continue until the end of the current Service or payment period. Except as expressly stated in these Terms (including the Free Trial and First Charge section below), Fees already paid are non-refundable.
If you do not cancel in accordance with these Terms, your subscription will automatically renew at the then-current price and for the same subscription period, and Autron will charge the payment method on file on the first day of the renewal period.
Customer grants Autron a royalty-free licence to use Customer trademarks, service marks, slogans, artwork, written materials, photographs, graphics, and other materials subject to intellectual property protection solely as necessary to perform the Services.
Free Trial and First Charge
Autron may offer a free trial period for certain Services. Eligibility, duration, and scope of any free trial will be communicated at the time of sign-up.
If you add a payment method during a free trial, you authorise Autron to automatically charge the applicable Fees at the end of the free trial unless you cancel the Service prior to the end of the free trial. It is your responsibility to cancel before the free trial ends if you do not wish to continue.
If a Customer experiences verified technical issues that materially prevent use of the core functionality of the Service during the free trial or immediately following the first charge after the free trial, Autron may, at its sole discretion, provide a refund or other appropriate remedy, provided the issue is reported promptly after the charge and Autron verifies that the issue was caused by a service availability or functionality failure attributable to Autron. Refunds will not be granted for reasons unrelated to verified service availability or functionality.
Billing and Payment
If you select a paid Service, you must provide current, complete, accurate, and authorised payment method information. You authorise Autron to charge your provided payment method for the Services you have selected and for any paid features you choose. Autron may bill in advance, at the time of purchase, shortly after purchase, or, if you have elected a subscription Service, on a recurring basis.
For the avoidance of doubt, the end of any free trial constitutes the start of a paid subscription unless the Service is cancelled prior to the end of the free trial. If Autron has not received payment when due, Autron may charge both past-due and current amounts to bring your account up to date. Failure to pay any charges or Fees may result in suspension or cancellation of your Services.
Subscription Period
Any free trial period does not count toward the applicable subscription period and will convert to a paid subscription at the end of the trial unless cancelled.
A monthly subscription plan has a subscription period of one month and will automatically renew unless cancelled prior to the renewal date. You will be billed on or about the same day each month until cancellation.
An annual subscription plan has a subscription period of one year and will automatically renew each year on the anniversary unless cancelled at least three business days prior to the renewal date. You will be billed annually on or about the same day each year. Under the annual subscription plan, you may not cancel or downgrade the Service until the end of the one-year term. If you are unsure, Autron recommends selecting the monthly subscription plan.
Optimization, Automated Actions and Managed Services
The Services change your advertising accounts in more than one way, and the same allocation of responsibility applies to all of them.
Algorithmic optimization. Where you enable it, Autron's optimization operates continuously against the goals, budgets and constraints you set, adjusting bids, budgets and targeting without a separate approval for each change. That is the intended behaviour of the product, and enabling it is your instruction to make those changes.
The Autron Agent. The Services include the Autron Agent, an AI assistant that answers questions about your advertising and retail performance, produces reports, runs scheduled routines, and — where you direct it to — makes changes in your connected advertising accounts. The Agent is powered by large language models operated by third parties, as described in our Privacy Policy.
Output may be wrong. The Agent's responses are generated by statistical models. They may be inaccurate, incomplete, out of date, or inconsistent between runs, even when presented confidently and with supporting figures. You should not rely on Agent output as the sole basis for a business, financial, tax, legal or advertising decision, and you remain responsible for independently verifying anything material before acting on it.
You control what the Services may do, and you are responsible for what they do. Actions that change your advertising accounts — including creating or archiving campaigns and targets, and changing bids, budgets and placement adjustments — are governed by the approval and permission settings on your account, and by any scheduled routines you configure and enable. Configuring those settings, and reviewing the actions taken under them, is your responsibility. Subject to the Limitation of Liability below, Autron is not responsible for advertising spend incurred, sales lost, or account performance resulting from actions taken within the goals, budgets and permissions you have configured, or from actions you approve.
Autron personnel. Where you engage a managed service, request support, or ask us to act on your account, Autron staff may view and change your advertising accounts on your behalf. They act within the scope of what you have asked for and the permissions on your account, and changes they make are treated the same as changes you make yourself. Nothing here limits Autron's responsibility for its own gross negligence or wilful misconduct — see Limitation of Liability below.
Amazon's terms still apply. Your use of the Services does not alter your obligations to Amazon or to any other advertising platform whose account you connect, including their API terms and advertising policies. You are responsible for ensuring that campaigns, targeting and content created or published on your behalf comply with those policies.
Connected AI Clients
The Services include an MCP server that lets you authorise third-party AI clients and assistants of your choosing — for example Claude or ChatGPT — to access your Autron account and act within it.
Authorising such a client is your decision. Data those clients retrieve from Autron leaves the Services and is thereafter held and processed by that client and its operator under their own terms and privacy policy, not ours. Autron does not control those clients, is not responsible for their behaviour, availability, security or output, and does not endorse them. Where a connected client invokes an action that changes your advertising accounts, that action is treated as taken by you. Autron labels which of its tools make changes, but whether the client asks you to confirm before running one is determined by that client's own settings, not by Autron's — the permission settings in your Autron account apply to the Autron Agent, not to a connected client.
You are responsible for keeping your authorisations current and for revoking any client you no longer use or trust, which you can do at any time from Settings in your Autron account.
Warranty Disclaimer
Except as expressly stated in these Terms, the Services and all Software, data, reports and output made available through them are provided "AS IS" and "AS AVAILABLE", without warranty of any kind. To the fullest extent permitted by law, Autron disclaims all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.
Autron does not warrant that the Services will be uninterrupted, timely, secure or error-free, that defects will be corrected, that the Services will operate in combination with any particular third-party service, or that any result, advertising outcome, ranking, sales figure or return on ad spend will be achieved. Autron does not warrant the accuracy or completeness of data obtained from Amazon or any other third-party source, or of any analysis or recommendation derived from it.
Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, advertising spend, sales, or data, arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence) or otherwise, and regardless of whether the party was advised of the possibility of such damages.
To the fullest extent permitted by law, Autron's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total fees paid by the Customer to Autron in the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations do not apply to a party's liability for fraud, fraudulent misrepresentation, gross negligence or wilful misconduct, to the Customer's payment obligations, or to any liability that cannot be limited or excluded under applicable law.
The Services are a tool for managing advertising that the Customer controls, and the Customer's advertising accounts remain the Customer's throughout. The Customer is solely responsible for its advertising budgets, bids, campaign structure and resulting spend, including where those are set or adjusted by Autron's algorithmic optimization, by the Agent, by a scheduled routine, by a connected AI client, or by Autron personnel acting under a managed engagement or at the Customer's request — in each case within the goals, budgets and permissions the Customer has configured or approved.
Indemnification
The Customer will defend, indemnify and hold harmless Autron and its officers, directors, employees and agents from and against any third-party claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to: (a) the Customer's use of the Services in breach of these Terms or of applicable law; (b) Content or data the Customer provides to, or generates through, the Services, including any claim that it infringes or misappropriates the rights of a third party; (c) the Customer's advertising campaigns, product listings and the products they promote; or (d) the Customer's breach of its obligations to Amazon or any other advertising or selling platform.
Governing Law
These Terms shall be governed by the laws of the State of Massachusetts without regard to its conflict of laws provisions.
